TM44.uk is a website and trading name of Codeex Maintenance Ltd, Company No. 12777967, registered in England & Wales.
In these Terms, “we”, “us”, and “our” refer to Codeex Maintenance Ltd, and “you” refers to the customer.

By making a booking or using our services, you confirm that you have read, understood, and agree to be bound by these Terms.


1. Nature of Our Service

1.1 TM44.uk is a booking, coordination, and administration platform only.
We do not carry out inspections, technical assessments, energy calculations, or compliance checks.

1.2 All TM44 surveys, site inspections, technical assessments, energy evaluations, and certificate production are performed exclusively by independent contractors.

1.3 Codeex Maintenance Ltd does not supervise, employ, instruct, or control contractors. Contractors carry out their work under their own professional judgement, their own accreditations, and their own insurance policies.

1.4 You acknowledge that TM44.uk’s role is limited to:

  • capturing your booking details

  • allocating a qualified independent assessor

  • managing scheduling and administration

  • invoicing and payment collection

  • lodging certificates when required (based on assessor-provided data)

We are not the TM44 assessor and do not assume technical responsibility for inspection outcomes.


2. Services Provided

Services may include (but are not limited to):

  • TM44 Air Conditioning Inspections

  • TM44 Certification & Registry Lodgement

  • F-Gas Leak Testing & Checks

  • EPC (Energy Performance Certificate)

  • Energy Efficiency Upgrade Reports

  • Emergency TM44 (24/48 hours)

  • Portfolio & Multi-Site TM44 Management

We reserve the right to refuse or cancel services where necessary.


3. Bookings

3.1 A booking is considered confirmed only when we provide written confirmation.

3.2 You must provide complete and accurate information, including:

  • number of AC units

  • type of system (split, VRF, roof-top, etc.)

  • floor plans where available

  • access details

  • site contact

  • parking information

3.3 Incorrect or incomplete information may result in additional charges, delays, or a failed visit.

3.4 Re-booking caused by inaccurate details or no access will result in a repeat-visit fee.


4. Payment Terms

4.1 All invoices are issued by Codeex Maintenance Ltd unless stated otherwise.

4.2 Payment terms: 3 days from invoice date.

4.3 We reserve the right to:

  • charge statutory late-payment interest (8% above Bank of England base rate)

  • add a £40–£100 late payment administration fee

  • suspend or cancel bookings

  • withhold certificates until payment is made

4.4 All certificates, reports and documentation remain the property of Codeex Maintenance Ltd until payment has been received in full.


5. Cancellation & Rescheduling

5.1 Cancellations within 24 hours of the appointment incur a fee of £110 + VAT.

5.2 If the assessor cannot access the property for any reason beyond our control, the same fee applies.

5.3 Weekend or emergency bookings may carry higher cancellation fees.

5.4 All cancellations must be submitted in writing (email accepted).


6. Inspection Process & Limitations

6.1 Inspections are non-intrusive and visual unless otherwise agreed.

6.2 Inspectors do not dismantle equipment, open sealed units, or interfere with plant operation unless authorised.

6.3 Reports reflect the condition at the time of inspection only.

6.4 Efficiency recommendations are advisory and must be interpreted by a qualified engineer.

6.5 We do not guarantee:

  • energy savings

  • system performance

  • identification of hidden faults

  • future compliance

  • lifespan of equipment


7. Independent Contractors

7.1 All on-site TM44 inspections are performed by independent assessors.

7.2 Each assessor is solely responsible for:

  • technical accuracy of the inspection

  • professional judgement

  • compliance with TM44 legislation

  • producing, signing, and validating the TM44 certificate

  • health & safety during the site visit

  • insurance coverage for their activities

7.3 Codeex Maintenance Ltd / TM44.uk:

  • does NOT review or verify inspection data

  • does NOT accept responsibility for technical errors

  • is NOT liable for omissions, missed defects, delays, or inaccurate findings

  • does NOT provide engineering or compliance advice

7.4 Your legal relationship regarding the inspection work is directly with the contractor who performs it.


8. Customer Responsibilities

You agree to:

8.1 Provide safe, legal, and unobstructed access to all required areas.
8.2 Ensure someone is present where required.
8.3 Provide accurate building information.
8.4 Secure sensitive equipment.
8.5 Provide any necessary parking arrangements or permits.
8.6 Confirm the property is ready for inspection (all areas accessible).

Failure to comply may result in additional fees.


9. Liability & Disclaimers

9.1 TM44.uk / Codeex Maintenance Ltd is not responsible for:

  • errors or omissions in TM44 reports

  • inaccuracies in assessments

  • non-compliance issues identified after inspection

  • damage caused by contractor actions

  • delays caused by BT, weather, illness, accidents or third parties

  • loss of business, rental income, profit, contracts, or reputation

9.2 Our liability for any claim is strictly limited to the amount paid for the service in question.

9.3 Indemnity:
You agree to indemnify and hold harmless TM44.uk / Codeex Maintenance Ltd against any claim, loss or damage arising from:

  • contractor actions

  • your failure to follow guidance

  • use of our website

  • errors in information provided by you

9.4 No Guarantee:
We do not guarantee:

  • compliance outcomes

  • energy savings

  • accuracy of contractor reports

  • continuous website availability

9.5 We do not provide engineering, legal, financial or compliance advice.


10. Force Majeure

We are not liable for delays or failures caused by situations outside our control, including:

  • extreme weather

  • strike action

  • systems failures

  • illness

  • government restrictions

  • supply chain issues

  • transport disruption


11. Data Protection

11.1 Data is processed in accordance with our Privacy Policy.
11.2 Minimal access details may be shared with contractors for attendance only.
11.3 Technical inspection data is collected independently by the assessor.


12. Severability

If any section of these Terms becomes unenforceable, the rest shall remain in full force.


13. Assignment

We may assign or subcontract our rights or obligations without notice, provided standards remain equivalent.


14. Variations

We may update these Terms at any time. The latest version will always be available at:

Continued use of our services constitutes acceptance of updated Terms.


15. Governing Law

These Terms are governed by the laws of England and Wales.
Any disputes shall be resolved exclusively in the courts of England and Wales.
